Confidentiality, Non-Disclosure, and Terms of Use Agreement

This Agreement is entered into between Calm Massage & Skincare LLC, a New York corporation, whose address is 332 Senator St., Brooklyn, NY 11220  (“Disclosing Party”), and you, the student enrolling in this course (“Receiving Party”).

By enrolling in this course, you acknowledge that you have read, understood, and agreed to all terms below.

 

Purpose of This Agreement

The purpose of this Agreement is to:

• protect all educational materials shared in the Courses Disclosing Party provides
• prevent unauthorized copying, distribution, or teaching of the content
• outline the rules of access, confidentiality, and refund policies
• limit all liability of the Disclosing Party

This course is for educational purposes only and does not grant certification, licensure, or authorization to perform esthetic or massage services.

It is the Receiving Party’s sole responsibility to understand and comply with any professional laws, licensing requirements, or scope-of-practice regulations in their city, state, or country.

This course is open to estheticians, massage therapists, bodyworkers, acupuncturists, doctors, chiropractors, or other spa and wellness hands on professionals, or students currently enrolled in school for these specialities.

 

No Certification or Professional Authorization

The Receiving Party understands and agrees that:

• This course does not certify, license, or authorize the student to provide esthetic or massage services to individuals.
• This course is not a medical program, nor does it replace any professional training or supervision required by law.
• The techniques taught are general wellness techniques for educational use only.
• The Disclosing Party does not verify student credentials or legal qualifications.
• The student is fully responsible for following their local laws and practicing only within their legal scope.

 

Prohibited Conduct

The Receiving Party agrees that:

• Recording, downloading, screen-recording, screenshotting, or photographing any part of the course is strictly prohibited.
• Content of the courses cannot be copied, shared, uploaded, distributed, resold, or used to train or certify others.
• The Receiving Party may not present the material as their own method or intellectual property.
• The Receiving Party may not claim or imply certification by the Disclosing Party.
• Any violation of this Agreement is grounds for legal action.

 

Access to Materials

The Receiving Party will have access to the online training platform and support for 180 consecutive days from the date of purchase.

After this period, access expires without notice. The Disclosing Party is not obligated to extend, restore, or reactivate access.

This course is conducted in English via computer, and Receiving Party will need to ensure that the technology needed for this course is ready;

• Browser requirements: We recommend that you use Google Chrome as your internet browser when accessing our website. Although this is not a requirement, we have found that this browser performs best for ease of access to Course material.
• Additional requirements: Please note that Google, Vimeo, Zoom, and YouTube may be used in our Course delivery, and if these services are blocked in your jurisdiction, you may have difficulty in accessing Course content – we strongly recommend that you check with us before registering for a Course if you have any concerns about this affecting your attendance and participation in the course.
• Any costs of the required technology is the Receiving Party’s expense and will not be reimbursed by the Disclosing Party.

 

 Refund Policy

The Receiving Party understands and agrees that:

• No refunds will be issued once access has been granted.
• All sales are final.

Receiving Party is enrolling for a two part program, and the price quoted is for the Foundations portion.  The Practicum is granted free of charge to those enrolled in the Foundations training.  Receiving Party will have immediate access upon enrollment to our proprietary Foundations training in the portal, There are no refunds due to the proprietary nature of our training and Receiving Party’s immediate access upon enrollment. If the Receiving Party decides to withdraw, withdrawal is from both parts. You may not take one part and not the other. You may not earn partial credit.  There is no dollar value assigned to the Practicum portion so there is nothing to refund. The receiving Party will also receive the coaching, mentoring, and support included with the Buccal Massage Coaching & Mentoring Program, as outlined on the checkout page.

 

Definition of Protected Materials

“Protected Materials” include, but are not limited to:

• all course videos, audio, demonstrations, slides, and written materials
• downloadable PDFs, guides, diagrams, explanations, and instructions
• all educational content created by the Disclosing Party
• all Protected Materials are confidential and proprietary.

Confidentiality and Use

The Receiving Party agrees to:

• keep all Protected Materials strictly confidential
• not disclose or share any portion with any individual or entity
• not use Protected Materials in any way that harms the Disclosing Party
• not reproduce, publish, or distribute Protected Materials in any format
• protected material is provided solely for personal education.

Recording and Media Release

The Receiving Party acknowledges and agrees that course-related activities, including training sessions, coaching calls, practicums, webinars, workshops, Q&A sessions, and community events, are recorded by the Disclosing Party.

The Receiving Party expressly consents to the Disclosing Party's use of the Receiving Party's name, business name, image, photographs, likeness, voice, testimonials, reviews, feedback, comments, social media content voluntarily shared with or tagged to the Disclosing Party, and other content voluntarily provided, for educational, training, promotional, marketing, advertising, commercial, and course development purposes without further notice or compensation. All recordings created by the Disclosing Party are the exclusive property of the Disclosing Party.

 

Attendance and Completion Requirements:  

• Receiving Party will complete the Foundations portion in our Kajabi portal online via videos and written material and must pass all tests with a score of 70%.  
• Receiving Party will then attend the two sessions of the Live Zoom Practicums and full attendance is mandatory.  Replays of the Live Zoom Practicums are available for six months after the class but do not count as attendance.  
• Receiving party will attend 100% of the four Small Group Mentoring Calls with Joanna, conducted live via Zoom. Mentoring dates are assigned by batch and are not transferable between batches.
• Upon successful completion of all requirements and payments, you will receive the Certificate of Achievement for the Foundations training and the Certificate of Completion for the Live Zoom Practicums.

 

Missed Practicum Policy:  Attendance is mandatory for the two Practicums.  You will be registered to the dates you've chosen at enrollment.  If you miss your scheduled dates, you may request by email that we transfer you to the next available date.  We cannot guarantee availability in the next dates due to enrollment limits, which can cause delay in your completion of the Training, so it’s important to attend your originally scheduled dates. 

 

Identification: During the Live Zoom portion, you may be required to verify your identity with an official identity document, which reflects the name provided upon registration, for authentication and record purposes. Acceptable forms of identification include;

• an identity document (national ID card)
• passport
• government- or state-issued driver's license (US, UK, Australia and New Zealand only)
• state or province ID card
• birth certificate

If the Receiving Party undergoes a legal name change during the presentation of a Course, the Receiving Party will be required to communicate this to the Disclosing Party via email and provide legal documentation of the name change.

 

Missed Group Mentoring Calls:  Replays will be available for all Zoom meetings of the Buccal Massage Business Coaching & Mentorship.  Missed classes cannot be made up due to the small group nature of the program.

 

Refunds and Withdrawals: You are enrolling for a three part program, and the price quoted is for the Foundations and Buccal Massage Business Coaching & Mentorship portions.  The Practicum is granted free of charge to those enrolled in the Foundations training.  You will have immediate access upon enrollment to our proprietary Foundations and Buccal Massage Business Coaching & Mentorship in the portal, There are no refunds due to the proprietary nature of our training. If you decide to withdraw, you are withdrawing from all parts. You may not take one part and not the other. You may not earn partial credit. for Foundations and Practicum sections.  There is no dollar value assigned to the Practicum portion so there is nothing to refund.

 

Safety + Disclaimer of Liability

The Receiving Party acknowledges:

• This course teaches general wellness techniques, not medical care.
• None of the information provided diagnoses, treats, or cures medical conditions.
• The Disclosing Party is not responsible for how techniques are used outside the course.
• The Receiving Party is fully responsible for evaluating safety, contraindications, client health, and appropriate technique application.
• The Disclosing Party assumes no liability for injury, harm, outcomes, or complications resulting from the student’s actions.

The Receiving Party accepts full responsibility for:

• client selection
• professional decisions
• safety
• positioning
• pressure
• all legal compliance
• all client results

 

Legal Required Disclosures

If the Receiving Party is legally required to disclose any Protected Material, they must promptly notify the Disclosing Party so protective measures can be taken.

If disclosure is unavoidable, the student agrees to disclose only the minimum required by law.

 

Business Licenses and Compliance

The Receiving Party is solely responsible for obtaining and maintaining all required:

• licenses
• insurance
• permits
• credentials
• certifications

The Disclosing Party does not verify compliance and assumes no responsibility for it.

 

CE Approval & New York State Recognition

Joanna Sechuck-Tringali is approved by the National Certification Board for Therapeutic Massage & Bodywork (NCBTMB) as a continuing education Approved Provider and is also sponsored by NCBTMB to teach New York LMTs continuing education that is accepted by the State of New York for license renewal.

 

Governing Law + Venue

This Agreement is governed by the laws of the State of New York.

Any disputes, claims, or proceedings must take place exclusively in the courts of Brooklyn, New York.

 

Updates to Terms

The Disclosing Party may modify or update this Agreement at any time, with or without notice. Continued access or use signifies acceptance of updated terms.

 

Electronic Signature

By purchasing or accessing the course, the Receiving Party agrees that:

• their electronic consent holds the same legal force as a handwritten signature
• they understand and accept all terms in this Agreement
